These Terms of Service ("Terms") govern your access to and use of DocsTray, including any content, functionality, and services offered through our platform. By using DocsTray, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using DocsTray, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use DocsTray.

You represent that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using DocsTray on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Description of Service

DocsTray provides a white-labeled document collection platform designed specifically for freelance bookkeepers and accountants. Our service includes:

• Secure document upload and storage
• Automated document request reminders
• Client portal with custom branding
• Document management and organization
• Dashboard analytics and reporting
• Team collaboration features

We reserve the right to modify, suspend, or discontinue any feature of DocsTray at any time with reasonable notice to paying customers. We are not liable for any modifications, suspensions, or discontinuations.

3. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access to your account
• Ensuring the accuracy and legality of documents you upload
• Obtaining proper consent from your clients before collecting their documents

We are not liable for any loss or damage arising from your failure to comply with these responsibilities. You may not share your account credentials with unauthorized users.

4. Payment Terms

DocsTray is a subscription-based service with the following payment terms:

• Subscription Fees: Fees are billed in advance on a monthly or yearly basis, depending on your selected plan
• Free Trial: New users receive a 14-day free trial on the Growing plan with no credit card required
• Automatic Renewal: Your subscription will automatically renew at the end of each billing period unless cancelled
• Price Changes: We will notify you at least 30 days before any price change
• Taxes: You are responsible for any applicable taxes on your subscription

All fees are non-refundable except as expressly stated in these Terms or as required by law.

5. Cancellation and Refunds

You may cancel your DocsTray subscription at any time through your account settings or by contacting support. Upon cancellation:

• You will continue to have access to your account until the end of your current billing period
• No further charges will be applied after cancellation
• We do not provide refunds for partial billing periods
• Your data will be retained for 30 days after cancellation, then permanently deleted

If you cancel during your free trial, you will lose access immediately and no charges will apply.

6. Acceptable Use Policy

You agree not to use DocsTray for any unlawful purpose or in any way that could damage, disable, overburden, or impair our service. Prohibited activities include:

• Uploading illegal, infringing, or harmful content
• Attempting to gain unauthorized access to our systems
• Using DocsTray to transmit malware or other harmful code
• Harvesting or collecting client data without proper consent
• Reselling or redistributing DocsTray without authorization

We reserve the right to terminate accounts that violate this Acceptable Use Policy.

7. Limitation of Liability

To the maximum extent permitted by law, DocsTray and its affiliates, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the service.

Our total liability for any claim arising from these Terms or your use of DocsTray shall not exceed the amount you paid us in the 12 months preceding the claim. Some jurisdictions do not allow limitations of liability, so this provision may not apply to you.

8. Disclaimer of Warranties

DocsTray is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or completely secure.

We are not responsible for any data loss, document corruption, or service interruptions. We recommend that you maintain backups of important documents outside of DocsTray.

9. Intellectual Property

All content, features, and functionality of DocsTray, including but not limited to software, design, text, graphics, and logos, are owned by DocsTray LLC and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of all documents you upload to DocsTray. You grant us a limited license to store, process, and transmit your documents solely to provide the service to you.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action arising from these Terms shall be brought exclusively in the courts of Delaware.

If you are located outside the United States, you agree that you will be subject to the jurisdiction of Delaware courts and that Delaware law will apply.

11. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by email or through a notice on our website. Your continued use of DocsTray after changes constitute your acceptance of the revised Terms.
